Definitions
For the purpose of these Terms:
- "blinkl.io", "we", "us" โ refers to BLINKL SAS, the publisher of the Service.
- "Service" โ refers to the blinkl.io desktop application, its extensions for Adobe Premiere Pro and After Effects (the Ring, Smoothify, Beat, Snap, AnyPaste, etc.) and any related online services.
- "User", "you" โ any natural or legal person who downloads, installs, accesses or uses the Service.
- "Account" โ the personal space created by the User to manage their licenses and subscriptions.
- "Subscription" โ the contractual relationship by which the User accesses paid features for a fixed term against payment.
Object of the Service
blinkl.io provides a suite of extensions designed to accelerate the workflow of video editors inside Adobe Premiere Pro and After Effects. The free version (the Ring and the free extensions catalogue) is funded by the AutoCut family and made available without charge.
Premium features โ including Auto Edit Clip, Voice Over and Diarization โ are made available through a paid subscription on a monthly or yearly basis.
Acceptance of the Terms
By installing, accessing or using blinkl.io, you acknowledge that you have read, understood and accepted these Terms in full. If you do not agree with any of these provisions, please refrain from using the Service.
The User must be at least 16 years old, or have valid authorization from their legal representative.
Account & access
Use of the free version does not require an account. To purchase a subscription or unlock premium features, the User must create an Account by providing accurate, complete and up-to-date information.
The User is solely responsible for the confidentiality of their credentials. Any action performed through the Account is presumed to be performed by the legitimate Account holder.
License granted
Subject to the User's compliance with these Terms, blinkl.io grants the User a personal, non-exclusive, non-transferable and revocable license to use the Service for their own internal needs, professional or personal.
This license does not transfer any intellectual property rights and is limited to the duration of the User's use of the Service or, where applicable, of the Subscription.
Permitted use
The User undertakes to use the Service:
- in accordance with these Terms and applicable laws;
- for legitimate professional or personal video-editing purposes;
- without infringing the rights of any third party.
Prohibited use
The User shall not, without the express prior consent of blinkl.io:
- copy, reproduce, redistribute, sell, sublicense or rent the Service or any of its components;
- reverse-engineer, decompile or attempt to extract the source code of the Service, except where allowed by mandatory law;
- circumvent any technical protection measure or licensing mechanism;
- use the Service to develop a competing product;
- use the Service in connection with illegal, defamatory or infringing content.
Pricing & payment
The prices of paid features are displayed in euros (EUR) excluding taxes on the website blinkl.io. Applicable taxes are added at checkout based on the User's billing country.
Payments are processed by certified payment service providers (Visa, Mastercard, American Express, PayPal, SEPA Direct Debit).
blinkl.io does not store any complete payment information on its servers; only a token provided by the payment processor is retained for renewal purposes.
Trial period & refund
The User may benefit from a free trial of premium features when applicable. After the trial expires, the User must subscribe to continue using the premium features.
In accordance with the French Consumer Code, the User has a 14-day right of withdrawal from the date of purchase, except when the Service has already been fully performed at the User's express request and with their acknowledgment that they will lose this right.
Subscription & automatic renewal
Subscriptions are entered into for a defined term (monthly or yearly) and are automatically renewed for an identical term at the end of each period, unless the User cancels at least 24 hours before the end of the current period from their Account dashboard.
Cancellation takes effect at the end of the current paid term; no proration is applied for the unused portion of a paid period.
Updates & modifications
blinkl.io may release updates, enhancements or modifications to the Service at any time to fix bugs, improve performance or introduce new features. Some updates may be required to keep the Service operational; the User accepts that such updates may be installed automatically.
We reserve the right to modify these Terms at any time. Material changes will be notified to the User by email or in-app banner at least 30 days before they take effect.
Intellectual property
The Service, including its source code, interfaces, graphics, trademarks, logos and documentation, is the exclusive property of blinkl.io or its licensors. The Service is protected by intellectual-property laws in France, the European Union and internationally.
The blinkl.io and AutoCut names and logos are registered trademarks of BLINKL SAS. Adobe, Premiere Pro and After Effects are registered trademarks of Adobe Inc., used here for interoperability purposes only.
User content
Any video, audio, image or other media that the User imports, edits or processes via the Service remains the exclusive property of the User. blinkl.io does not claim any intellectual-property right over the User's content.
For features that require server-side processing (Voice Over, Diarization), the User grants blinkl.io a strictly limited, non-exclusive license to host and process their content for the sole purpose of executing the requested feature.
Third-party services
The Service relies on third-party services, including Adobe Premiere Pro, Adobe After Effects, payment processors (Stripe, PayPal) and AI providers used for premium features.
The User acknowledges that these third parties have their own terms and privacy policies, and that blinkl.io is not responsible for their performance, availability or content.
Service availability
blinkl.io makes its best effort to keep the Service available 24/7. The Service may be temporarily unavailable for scheduled maintenance, debugging or due to circumstances beyond our control, without giving rise to any compensation.
Warranties
The Service is provided "as-is" and "as-available". blinkl.io grants the legal warranties required by applicable law, in particular the legal warranty of conformity for consumers residing in the European Union.
Beyond these mandatory warranties, blinkl.io disclaims any other warranty, express or implied, including any warranty of fitness for a particular purpose, of accuracy of results obtained, or of uninterrupted operation of the Service.
Limitation of liability
To the maximum extent permitted by applicable law, blinkl.io's total aggregate liability arising out of or in connection with the Service shall not exceed the amounts actually paid by the User to blinkl.io in the twelve (12) months preceding the event giving rise to the claim. blinkl.io shall in no event be liable for any indirect, incidental, consequential or punitive damages, including loss of profits, data, business or goodwill.
Termination
The User may terminate their use of the Service at any time by uninstalling the application and, where applicable, by cancelling their Subscription from their Account.
blinkl.io reserves the right to suspend or terminate the User's access in case of breach of these Terms, in particular in the event of fraud, illegal use, or non-payment, after a prior notice except where the breach is manifestly serious.
Personal data
The processing of personal data carried out by blinkl.io is described in detail in our Privacy Policy, which forms an integral part of these Terms.
As the data controller, blinkl.io applies the principles of the General Data Protection Regulation (GDPR) and the French Data Protection Act.
Force majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms when caused by an event of force majeure within the meaning of Article 1218 of the French Civil Code.
Governing law
These Terms are governed by French law. Translations are provided for convenience only; in case of discrepancy, the French version prevails.
Disputes & mediation
In case of dispute, the User and blinkl.io will first try to find an amicable solution. The User may also use the European online dispute-resolution platform available at ec.europa.eu/consumers/odr.
Failing an amicable resolution, any dispute shall be brought before the competent French courts, subject to mandatory rules of jurisdiction in favour of consumers.
